Terms of service.

1. Acceptance

By using getdigitize.com or engaging GetDigitize LLC ("GetDigitize", "we", "us") for services, you ("you", "the client") agree to these terms. If you do not agree, do not use the site or the services.

2. Services

GetDigitize provides public relations and media services including media relations, influencer and celebrity management, brand PR and thought leadership, social media management, and Generative Engine Optimization (GEO) and SEO. The specific scope of any engagement is defined in a written proposal accepted by both parties.

3. Acceptable use of the website

You may use getdigitize.com for any lawful purpose. You may not: scrape the site at a rate that disrupts service, attempt to gain unauthorized access, or republish substantial portions without written permission. You may quote or link freely with attribution.

4. Engagement and payment

• Project work: 50 percent payment at kickoff, 50 percent at delivery
• Monthly engagements: invoiced on the first business day of each month, due net-15
• Payment by ACH or wire (free) or credit card (2.9 percent surcharge)
• Late payments after 30 days incur 1.5 percent monthly interest
• We may pause work after 45 days of non-payment

5. Intellectual property

Work product: upon full payment, you own all final deliverables (press releases, pitch templates, social posts, content) for use within your business. We retain rights to anonymized case studies and methodology unless otherwise agreed.

Pre-existing materials: we retain all rights to our pre-existing tools, templates, and methodologies. You receive a perpetual license to use them inside your business but cannot resell or sublicense.

Your materials: you grant us a limited license to use your name, logo, and approved content during the engagement, including in pitches and press materials.

6. Confidentiality

Each party will keep the other's confidential information confidential. We do not disclose client lists, pricing, strategy documents, or any non-public information without written permission. We will name you as a client only if you give us written permission (typically via the case-study release form).

7. Termination

• Project work: completed when delivered. No early termination unless mutually agreed.
• Monthly engagements: 30-day written notice from either party. No early-termination fees.
• Brand Build (six-month) engagements: 60-day notice in months 4 to 6, with payment for the notice period.
• Either party may terminate immediately for material breach with 14 days written cure period.

8. Limitations and warranties

We warrant that we will perform services with the care and skill expected of a professional PR firm. We do not guarantee specific press placements unless explicitly written into the engagement scope. We do not guarantee specific search rankings, AI Overview citations, or business outcomes.

To the maximum extent permitted by law, our total liability for any claim is limited to the fees paid by you to us in the three months preceding the claim. We are not liable for indirect, consequential, or punitive damages.

9. Indemnification

Each party will indemnify the other for third-party claims arising from its own breach of these terms or applicable law. Neither party indemnifies the other for the other party's negligence or misconduct.

10. Independent contractor

GetDigitize is an independent contractor. Nothing in these terms creates an employer-employee relationship, partnership, joint venture, or agency relationship.

11. Dispute resolution and governing law

These terms are governed by the laws of the State of California, without regard to conflict-of-law principles. Any dispute will be resolved by binding arbitration in San Francisco, California, administered by the American Arbitration Association under its Commercial Arbitration Rules. Each party waives the right to a jury trial. Either party may seek injunctive relief in court for IP or confidentiality breaches.

12. Updates

We may update these terms. The current version is always at getdigitize.com/terms.html with the "Last updated" date. Material changes will be communicated to active clients in writing 30 days before they take effect.
